Website Development Terms and Conditions

Client: Firm or Individual opted for Web Design or Web Development services from Maiva Corporation Ltd.
Acceptance
A copy of these terms and conditions is submitted along with project proposal and must be agreed prior to work commencing. Alternatively, payment of an advance fee or payment online is an acceptance of our terms and conditions. These terms and conditions are always available on our website for review.
Charges
Charges for services to be provided by Maiva Corporation Ltd are defined in the project proposal that the Client receives via e-mail or hard copy. Costs in the proposal are valid for a period of 30 days unless alternate timescales have been agreed beforehand with the Client. Maiva Corporation Ltd reserves the right to alter or decline to provide a quotation after expiry of the valid timescale.
Payment structure varies with the project. Payment structure will be defined in the proposal. All payments have to be cleared before uploading the project to live server or client server. Client can make payments through Cheque, Bank Transfer.
Scope Development
Detailed scope documentation is developed interacting with the client. Client should also provide sufficient time and clear all queries necessary for the scope documentation. Scope documentation will be sent for client review and final scope document is generated for project development. Scope documentation is considered as final requirement document. Any changes to the scope will be charged extra.
Client Review
Maiva Corporation ltd will provide the Client with an opportunity to review the design elements and content of the Website during website design phase. All suggestions from the client has to be received within 5 working days. In the event of not receiving an suggestions such materials will be considered as approved by the client. Maximum of 2 revisions are allowed for each page considering the designing time. Maximum of 10 Pages which are important for the project are send for client confirmation. Same theme, GUI will be maintained throughout the project.
Project Schedule
In the majority of projects, Maiva Corporation Ltd will provide clear timelines & milestones. In order to drive the project according to the timelines & milestones company needs client full cooperation & time in clearing queries, discussions, reviews, confirmations etc. Company will always aim & try to complete the project according to time lines, and if there are any changes in the time lines company will notify the client according.
Client Communication
During the project life cycle, company has to discuss many elements with the client ,with regards to contents, images, designs, functional area, logical area, risks, problems, confirmations, suggestions etc . For smooth running of the project Client agrees to delegate a single individual as "point of contact". This individual is considered as one of the important project stake holder and their request & approval are considered as final.
Payments
Invoices will be provided by client before starting the project with approximate payment dates & amounts. Invoices are normally sent via email; however, the Client may elect to receive hard copy invoices. For any additional costs or fees new invoices will be provided to the client.
Termination
Termination of the Web Development project by the Client must be requested in writing with reasons of termination. At least 1 month notice has to be provided and client has to pay all the outstanding invoices. Client has to pay for the notice period as well. E-mail or telephone requests for termination of services will not be honoured until and unless confirmed in writing. Payments already made are nor refunded by any reason and will cover the documentation, design, development work completed to the date of first notice of cancellation for payment in full within thirty (30) days.
Company can also terminate the Web Development project with 1 month notice period in writing to the client explaining the reasons for termination.
Change Management
Any changes or additions to the functional ,logical, designing elements of the scope will be charged extra. After discussing the changes or additions company will provide the timelines for accomplishment & will charge accordingly. It is up to the company & client to accept & work on the changes.
Copyright
The Client retains the copyright to data, files and graphic logos provided by the Client, and grants Company the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting Company permission and rights for use of the same and agrees to indemnify and hold harmless Company from any and all claims resulting from the Client's negligence or inability to obtain proper copyright permissions. A contract for Web site design and/or placement shall be regarded as a guarantee by the Client to Company that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.
Content, Images, Media Requirements:
Unless otherwise specified in the project scope, this Agreement assumes that client has to provide all the content, logo's, images, text, photographs necessary for the project. Company will try to get open source images & photographs but if the client is not happy with the content, images, photographs used by the company, in that case client has to mandatorily provide the images, photographs, content, text.
Access Requirements
If the Client's Web site is to be installed on a third-party server, Company must be granted temporary read/write access to the Client's storage directories, and those directories must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server. Any issues created by the server on the project has to be handled by the server service provider. Company will try to help & coordinate with service provider in sorting out the issue.
Post Project Alterations
Company cannot accept responsibility for any alterations caused by the Client or a third party occurring to the Client's pages once installed. Such alterations include, but are not limited to additions, modifications or deletions. Company may charge for resolving any issues that may arise.
Third Party Services
Company may require the usage of third party services - for example, credit card processing - to complete the Client's project requirements and will ensure these services are integrated into the project and working correctly upon completion. Company cannot be held responsible for subsequent changes or issues with these third party services that may result in issues on the Client's website and may require a one-off Web Development charge before resolving any problems that may arise.
General
These Terms and Conditions supersede all previous representations, understandings or agreements. The Client's signature below or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions.
Governing Law
This Agreement shall be governed by English Law.
